Single Sales License

1. Grant of License

Licensor hereby provides Licensee with a non-exclusive, non-transferable license that extends worldwide, allowing Licensee to use the Designs exclusively for the following purposes:

• Creating or selling physical products.

​

2. Restrictions on Use

Licensee shall not do any of the following:

​

• Resell or distribute the Designs themselves.

​

• Use the Designs in any way that infringes upon any copyright,
  trademark, or other intellectual property rights of Licensor or any
  third party.

​

• Modify, adapt, or create derivative designs from the Designs.

​

• Use the Designs for any illegal or unauthorized purpose.

​

3. Ownership

Licensor maintains full ownership of the Designs, including all intellectual property rights associated with them. This Agreement does not transfer ownership of the Designs to the Licensee.

4. Term and Termination

This Agreement shall commence on the Effective Download Date and
has no expiration or termination.

5. Indemnification

Licensee shall indemnify and hold harmless Licensor from and against
any and all claims, losses, damages, liabilities, and expenses (including
reasonable attorneys' fees) arising out of or in connection with
Licensee's use of the Designs, whether or not such claims, losses,
damages, liabilities, and expenses are based on negligence or other
tort, breach of contract, or otherwise.

6. Entire Agreement

This Agreement constitutes the entire agreement between the parties
with respect to the subject matter hereof and supersedes all prior or
contemporaneous communications, representations, or agreements,
whether oral or written.
